Agreement to Terms

By accessing this website or engaging BuilddFromIdeas for services, you agree to be bound by these Terms of Service. If you do not agree, please do not use this website or our services.

These Terms apply to your use of the BuilddFromIdeas website at buildfromideas.com. The specific scope, deliverables, and commercial terms of any engagement are governed by a separate written service agreement signed by both parties.

Our Services

BuilddFromIdeas provides revenue management services to independent hotels, including but not limited to:

• Revenue strategy and dynamic pricing
• OTA listing optimization and rate management
• Channel management and distribution setup
• Property management system (PMS) implementation and support
• Reporting, analytics, and performance reviews

The exact services included in your engagement are defined in your signed service agreement. Nothing on this website constitutes a binding offer to provide any specific service.

Client Responsibilities

To allow us to perform our services effectively, you agree to:

• Provide accurate and complete information about your property and business
• Grant us authorized access to the OTA accounts, channel managers, and PMS platforms necessary to perform the agreed services
• Respond to requests for information or approvals in a timely manner
• Notify us promptly of any changes that may affect your revenue strategy
• Comply with all applicable laws and the terms of service of third-party platforms

Fees and Payment

Services are billed monthly in advance as specified in your service agreement. Invoices are due within 7 days of the invoice date. Accounts more than 30 days past due may be subject to a late fee of 1.5% per month on the outstanding balance.

We reserve the right to pause or suspend services for accounts that are more than 30 days past due. Suspension does not relieve you of the obligation to pay outstanding balances.

Term and Cancellation

We work month-to-month with no long-term contracts. Either party may cancel services by providing 30 days written notice via email. You remain responsible for payment through the end of the notice period.

Upon cancellation, we will provide a transition summary and return access credentials to any accounts we managed on your behalf within 5 business days.

Results Disclaimer

Revenue management improves the likelihood of better outcomes, but we cannot guarantee specific revenue increases, occupancy rates, or ADR targets. Hotel performance depends on many factors outside our control, including market conditions, property quality, and competitive dynamics.

Any case studies, examples, or performance figures referenced on this website represent past results and are not a guarantee of future performance.

Confidentiality

Both parties agree to keep confidential any non-public business information shared during the engagement. This includes your hotel's financial data, pricing strategy, and operational details, as well as our proprietary methodologies and tools. This obligation survives termination of the engagement.

Intellectual Property

All methodologies, templates, tools, and reports developed by BuilddFromIdeas remain our intellectual property. You retain full ownership of your hotel's data, including historical booking data, guest information, and financial records.

Reports and analyses we produce for your property are licensed to you for your internal use during and after the engagement.

Limitation of Liability

To the maximum extent permitted by law, BuilddFromIdeas shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of our services or this website.

Our total liability for any claim arising from our services is limited to the fees you paid to us in the three months immediately preceding the event giving rise to the claim.

Indemnification

You agree to indemnify and hold BuilddFromIdeas harmless from any claims, damages, or expenses (including reasonable legal fees) arising from your breach of these Terms or your violation of any third-party platform's terms of service.

Modifications to These Terms

We may update these Terms from time to time. We will provide at least 14 days' notice of material changes via email or by posting a notice on this website. Continued use of our services after the effective date of changes constitutes acceptance.

Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions. Any disputes shall be resolved in the state or federal courts located in Delaware.
